Article I – Name
The name of this organization is the Northwest Tennessee Area Beekeepers Association, a not-for-profit organization.

Article II – Membership

Section 1.  Qualification
Any person(s) interested in beekeeping may become a member upon payment of the annual membership dues to the Association treasurer.

Section 2. Membership Year
The membership year shall be January 1st through December 31st.

Section 3.  Dues
Dues are payable January 1st of each year and are considered delinquent after March 31st.  The annual fee for membership dues shall be established by the Association.

Section 4.  Membership
The General membership of this organization is empowered to elect officers on an annual basis, revise annual dues, approve or reject by-law amendments, and approve or reject such other issues as are presented by the Executive Board.

Section 5.  Revocation
Membership revocation shall be in concordance with the Tennessee Beekeepers Association by-laws.

Article III – Meetings   Roberts Rules of Order shall prevail.

Section 1.  Regular Meetings
Regular meetings of the Association shall be held at such place and at such time as the membership shall determine from time to time.

Section 2.  Election Meeting
The annual election meeting of the Association shall be held at the regularly scheduled meeting in March, at the regular meeting place, or at such other date or place, as shall be designated from time to time and stated in the notice of the meeting.  Officers for the coming year shall be installed at the annual election meeting.

Section 3.  Special Meetings
Special meetings of the members of the Association may be called by the president or may be called upon request of the president in writing by twenty-five percent of the membership  A minimum of ten days written notice shall be provided to the members prior to the scheduled date of such meeting.  The notice shall include the purpose of the called meeting.

Section 4.  Quorum
A majority of the active members of this Association shall constitute a quorum for the transaction of business, unless the act of a greater number is required by the by-laws of the Association.

Section 5.  Order of Business
The order of business for all meetings of the Association, unless changed by a majority vote of members present, shall be as follows:

NOTE: Minutes will be emailed to all members, if no one responds with any corrections, the minutes will not be read aloud at the following meeting.  Questions may be emailed to the secretary, but questions have no impact on the minutes.  The secretary will make every effort to answer all questions asked.

Article IV – Officers
The officers of the Association will be: President, Vice-President, Treasurer, Secretary and Directors.  These officers shall comprise of the Executive Board. They are empowered to transact any business which they deem imperative to the welfare of the organization except such business as only the General Membership is empowered to transact.  All officers will be members of the Northwest Tennessee Beekeepers Association. They will serve for [1] or [2] years, and if re-elected.  The directors will serve as follows, one director for [1] year, one director for [2] years, and one director for [3] years.

Section 1.  President
The President shall be the Chief Executive of the Association and shall have general responsibility over the affairs of the Association and shall see that all orders and resolutions of the Association are carried into effect.  When present, he/she shall preside at all regular meetings and special called meetings of the membership of the Association, and may appoint committees necessary to conduct the affairs of the Association.

Section 2.  Vice-President
The Vice-President shall perform such duties as from time to time may be assigned to him/her by the President. In the absence of the President, the Vice-President shall perform the duties of the President and when so acting, shall have the powers of  and be subject to all the restrictions upon the President.  He/She shall coordinate and introduce the program for each monthly meeting by contracting speakers, obtaining visual aids, and equipment, and helping to set up as necessary.  The Vice-President shall receive and maintain an accurate inventory list of any equipment and program aids owned by the Association.

Section 3.  Treasurer
The Treasurer shall, [a] have charge, custody and responsibility for all funds of the Association; [b] receive and give receipts for monies owed and payable to the Association; [c] deposit all such monies in the name of the Association in such bank as shall be elected by the officers; [d] pass on to the Secretary all members in good standing.

Section 4.  Secretary
The Secretary shall have responsibility of seeing [a] that the minutes of the regular and special membership meetings are kept; [b] that all notices are duly given in accordance with the provisions of these by-laws; [c] that the Association records are properly and safely maintained; [d] that such other duties as may be assigned by the President are performed; [e] keeping a register of members as to addresses, email.  Mailing and telephone numbers; [f] report local Association activities for monthly mailing to Association members such as meetings etc.

Section 5.  Directors
The [3] Directors will be part of the Executive Board.  They will offer advise and direction to the President and Executive Board.

Article V – Board and Committees

Section 1.  Executive Board
The executive board shall consist of the officers of the Association.  The chairman of this committee will be the Association president.  The board will meet at such time and place as determined by the chairman.  They will transact such business as necessary to maintain the welfare of the Association.

Section 2.  Nominating Committee
The nominating committee shall consist of not less than three [3] and not more than five [5] members.  It shall be appointed by the President no later than the August meeting and shall serve for one year.  It shall be the duty of the nominating committee to nominate candidates for the election of officers.

Section 3.  Other Committees
The President may appoint other committees consisting of three or more members and may delegate to such committees such responsibilities and authority as deemed necessary.

Article VI – Fiscal Matters

Section 1.  Fiscal Year
The fiscal year of the Association shall begin on January 1st and shall end on December 31st.

Section 2.  Association Dissolution
Should this Association undergo dissolution; its assets will be distributed only to charitable or nonprofit organizations as determined by the membership.

Article VII – Amendments
The by-laws may be amended at any annual, regular, or special membership meeting of the Association.  A copy of proposed amendments shall be provided to members in advance of such meeting in which amendments shall be considered.  A majority vote of the members present is required for adopting, amending or replacing these by-laws.
